The Japan Fair Trade Commission (hereinafter referred to as the “JFTC”) received the notification of the proposed acquisition of iRobot Corporation (headquartered in the U.S.) by Amazon. com, Inc. (headquartered in the U.S.; iRobot Corporation and Amazon. com, Inc. are hereinafter collectively referred to as the “Parties”) under the Chapter 4 of the Antimonopoly Act. The JFTC had been reviewing the acquisition but closed the review process of the acquisition because the Parties entered into a mutual agreement to terminate the previously announced acquisition agreement on January 29, 2024.
* Review Process
・The Parties announced their plan of the acquisition on August 5, 2022.
・The JFTC received the notification of the acquisition on January 9, 2024 (the commencement of the phase 1 review).
・The Parties entered into the mutual agreement to terminate the previously announced acquisition agreement on January 29, 2024.
・The Parties withdrew the notification on January 29, 2024.
