Japan Fair Trade Commission (hereinafter referred to as the “JFTC”) reviews business combinations based on the fundamental policy of strict and effective law enforcement. In the reviews, the JFTC determines whether the business combination has the potential to substantially restrain competition in any particular field of trade, considering various factors such as the positions of the company group and their competitors, the competitive situation in the market, the competitive pressure from related markets and users, imports and market entry.
The JFTC conducted the ex-post evaluation on the review of the proposed joint share transfer by the Daishi Bank, Ltd. and the Hokuetsu Bank, Ltd., then compiled and published the result today. The objective is to assess whether the JFTC’s initial judgement was appropriate at the time of the review, as well as to get useful suggestions to consider more effective methods of business combination reviews.
